Introduction
Welcome to Cyffiliate! These Terms and Conditions (T&C) govern the provision of marketing services by Cyffiliate ("Company") to its clients. By engaging our services, you agree to be bound by these T&C.
Definitions
"Client": An individual or entity that engages Cyffiliate for marketing services. "Services": Marketing and promotional services provided by Cyffiliate. "Company": Cyffiliate, the service provider. "Agreement": The contractual agreement, including these T&C, between the Client and the Company.
Service Provision
Scope of Services: The Company will provide marketing services as agreed upon in the service agreement or proposal. Client Responsibilities: Clients are responsible for providing necessary information, materials, and approvals in a timely manner.
Payment Terms
Fees: The Client agrees to pay for services rendered as per the agreed-upon fee structure. Payment Schedule: Payments are due according to the schedule outlined in the service agreement.
Intellectual Property
Client Content: The Client retains ownership of any materials provided to the Company for use in marketing campaigns. Work Product: The Company retains ownership of all original materials created during the provision of services, unless otherwise agreed in writing.
Liability and Indemnification
Limitation of Liability: The Company’s liability under this agreement shall be limited to the total fees paid by the Client. Indemnification: The Client agrees to indemnify the Company against any losses or damages arising from the Client's breach of these T&C or misuse of the services.
Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the business relationship.
Termination
Termination Clause: Either party may terminate the agreement with written notice, subject to the terms outlined in the service agreement. Effects of Termination: Upon termination, the Client is obligated to pay for services rendered up to the termination date.
Miscellaneous
Governing Law: This agreement shall be governed by the laws of UK. Amendment: These T&C may be amended by the Company at any time with notice to the Client. Entire Agreement: These T&C constitute the entire agreement between the parties concerning the subject matter hereof.
Acceptance
By engaging the services of Cyffiliate, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions
